Understand the terms under which we deliver software development, consulting, and MVP building services.

01Acceptance of Terms

By accessing our website, booking free consultations, or entering into software scoping agreements with Rudra IT Solutions, you agree to comply with and be bound by these Terms of Service. If you do not agree with any part of these terms, please refrain from using our website or engaging our services.

These Terms of Service apply to all visitors, users, clients, and any other party who accesses or interacts with Rudra IT Solutions through our website, email communications, or consulting engagements.

We reserve the right to update or modify these terms at any time. Continued use of our services following any changes constitutes acceptance of the revised terms.

02Development Services & Delivery

All custom software projects, mobile app implementations, AI pipeline setups, and technology consulting engagements are delivered under clearly defined scoping agreements.

Our engagement models include:
Fixed-Price Projects: Defined scope, timeline, and budget agreed upon before development begins. Payment is structured as milestone-based installments.Sprint-Based Development: Iterative delivery cycles (typically 1-2 weeks) with per-sprint billing. Scope can be adapted between sprints based on evolving requirements.Dedicated Team Augmentation: Hourly or monthly retainer models for embedded engineering resources working within your existing workflows.

Expected timeline calculations (such as our typical 6-8 week MVP build window) are estimates based on initial scoping. Actual timelines depend on:
Timely feedback and design approvals from your team.Complexity of features discovered during development.Third-party API integration requirements and their documentation stability.Availability of your stakeholders for technical decision-making.

All projects include a detailed Statement of Work (SOW) or Project Scope Document outlining deliverables, milestones, timelines, and acceptance criteria before any development begins.

03Intellectual Property & Code Ownership

Unless explicitly defined otherwise in a separate custom Software Development Agreement, 100% of the following assets are transferred to you upon final payment:

Source code repositories (frontend, backend, mobile applications, and supporting scripts).
Database schemas, migration files, and seed data structures.UI/UX design assets including Figma files, component libraries, and design system documentation.API documentation, architecture diagrams, and technical specifications.Deployment configurations, CI/CD pipeline definitions, and infrastructure-as-code templates.All original intellectual property created specifically for your project.

We do not claim ownership over any third-party libraries, frameworks, or open-source components used in your project — those remain under their respective licenses.

We retain the right to display completed projects in our portfolio unless a specific Non-Disclosure Agreement (NDA) is signed prohibiting such display. We will never share proprietary business logic, customer data, or sensitive configuration details in portfolio showcases.

04Confidentiality & Non-Disclosure

Rudra IT Solutions treats all client information, project specifications, business logic, and technical architectures with strict confidentiality.

Our confidentiality commitments include:
Signing standard NDAs before any project-specific discussions begin.Limiting access to client data to only the engineers and designers assigned to your project.Never sharing proprietary business logic, algorithms, or customer data with third parties.Destroying or returning all confidential materials upon project completion or request.Using encrypted communication channels for sharing sensitive project information.

The confidentiality obligation does not apply to information that:
Is or becomes publicly available through no fault of ours.Was already in our possession prior to disclosure.Is required to be disclosed by applicable law or court order.

We recommend that all prospective clients execute an NDA before sharing detailed project requirements or proprietary concepts during the scoping phase.

05Payment Terms & Invoicing

Payment terms are defined in the project SOW or master services agreement signed before development commences.

Standard payment structures:
Projects under $10,000: Typically 50% upfront, 50% upon completion and delivery acceptance.Projects $10,000 - $50,000: Milestone-based payments (typically 3-5 milestones) aligned with deliverable completion.Projects over $50,000: Structured payment schedules with monthly or sprint-based invoicing.Dedicated team engagements: Billed bi-weekly or monthly based on actual hours worked or sprint velocity.

Invoices are due within 15 days of receipt unless otherwise specified in the agreement. Late payments may result in:
A 1.5% monthly service charge on outstanding balances.Suspension of active development work until payments are brought current.Delayed delivery timelines proportional to the payment gap.

All pricing is quoted in USD unless otherwise agreed. Clients are responsible for any applicable taxes, duties, or levies.

06Client Responsibilities & Communication

To ensure successful project delivery, clients agree to:

Provide timely feedback on deliverables within agreed review windows (typically 48-72 hours for design reviews, 24-48 hours for development milestones).
Make key decision-makers available for scheduled check-ins and scoping sessions.Supply necessary access credentials, API keys, design assets, and content within 5 business days of project kickoff.Review and approve the Statement of Work before development commences.Communicate scope change requests through written channels (email or project management tools) for documentation.

Failure to meet these responsibilities may result in timeline adjustments. We will always communicate potential delays as early as possible and work with you to find scheduling solutions.

We recommend a single point of contact on your side to streamline communication and decision-making throughout the project lifecycle.

07Warranties & Limitation of Liability

Rudra IT Solutions provides software design and engineering services on a professional, commercially reasonable basis.

Our warranties:
We warrant that all development work will conform to the specifications outlined in the agreed SOW.We warrant that our engineers possess the necessary skills and experience to deliver the agreed scope.We will remediate any defects or bugs reported within 30 days of delivery at no additional cost (warranty period).

Limitations of liability:
Rudra IT Solutions is not liable for server downtime, third-party API outages (e.g., OpenAI, Stripe, AWS service disruptions), or changes to third-party platform policies that affect your application.We are not responsible for business disruptions, lost revenue, or indirect damages that occur after code repositories have been transferred to your control.Our aggregate liability for any claim arising from our services is limited to the total fees paid for the specific project giving rise to the claim.We do not provide guarantees about specific business outcomes, user adoption rates, or funding raise success.

This limitation of liability does not apply in cases of gross negligence, willful misconduct, or fraud.

08Support & Maintenance

Post-delivery support and maintenance are governed by the terms of your engagement:

Included warranty support (30 days from delivery):
Bug fixes for defects that prevent core functionality from working as specified.Email-based support during regular business hours (Monday-Friday, 10 AM - 7 PM IST).Reasonable troubleshooting assistance for deployment or configuration issues.

Ongoing maintenance (available via separate agreement):
Monthly retainer options starting at 10 hours/month for minor updates and patches.Security patches and dependency updates.Performance monitoring and optimization.Feature enhancements and scope additions.

Critical production issues are prioritized with a response time of 4 hours for system-down scenarios and 24 hours for non-critical issues.

Extended maintenance agreements are recommended for production applications handling customer data or revenue-critical operations.

09Project Cancellation & Termination

Either party may terminate a project engagement under the following conditions:

Termination by client:
You may cancel a project at any time by providing written notice.You are responsible for payment for all work completed up to the cancellation date, plus any non-cancellable third-party costs incurred.All work product, partial code, designs, and documentation completed up to the point of cancellation will be delivered to you upon payment of outstanding invoices.

Termination by Rudra IT Solutions:
We may terminate an engagement with 14 days written notice if payment is more than 30 days overdue.We may terminate immediately if a client engages in behavior that is abusive, fraudulent, or violates applicable laws.

In either termination scenario, we will work to ensure a smooth transition of all project assets and provide reasonable handover support to your team or a designated successor vendor.

10Governing Law & Dispute Resolution

These Terms of Service are governed by the laws of India. Any disputes arising from these terms or related engagements shall be resolved through:

1. Amicable negotiation between the parties for a period of 30 days.
2. If negotiation fails, disputes shall be settled by binding arbitration in Surat, Gujarat, India in accordance with the Arbitration and Conciliation Act, 1996.3. The arbitration proceedings shall be conducted in English by a single arbitrator mutually appointed by both parties.4. Each party shall bear its own costs and share the arbitrator's fees equally.

Notwithstanding the above, Rudra IT Solutions may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

Both parties agree that any cause of action arising from the services must be filed within one year of the date the claim arose.

11Modifications to Terms

We reserve the right to modify these Terms of Service at any time to reflect changes in our business practices, legal requirements, or service offerings.

When material changes are made:
The "Last updated" date at the top of this page will be revised.Active clients will be notified via email at least 14 days before significant changes take effect.A notice will be posted on our website for a minimum of 30 days following material updates.

We encourage you to review these terms periodically. Continued use of our website or services after changes take effect constitutes acceptance of the updated terms.

If you disagree with any changes to these terms, you may cease using our services as outlined in Section 9 (Project Cancellation & Termination).
